    1. Agreement to Terms

    These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and InCommand Technologies LLC ("CommandOS," "we," "us," or "our"), a Delaware limited liability company, governing your access to and use of the CommandOS platform, including any associated software, services, and websites (collectively, the "Service").

    By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

    2. Description of Service

    CommandOS is a professional services automation platform designed for consulting firms and services businesses. The Service includes features for project management, time tracking, proposals, invoicing, competitive intelligence, and business analytics.

    3. Account Registration

    To use the Service, you must register for an account. You agree to:

    • Provide accurate, current, and complete information during registration
    • Maintain and promptly update your account information
    • Maintain the security of your password and accept responsibility for all activities under your account
    • Notify us immediately of any unauthorized access or use of your account

    You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age.

    4. Subscription and Payment

    4.1 Free Trial

    We may offer a free trial period. At the end of your trial, you must select a paid subscription plan to continue using the Service. If you do not select a plan, your access to certain features may be restricted.

    4.2 Subscription Plans

    The Service is offered on a subscription basis. Subscription fees are based on the plan you select and the number of users. Current pricing is available at incommand.ai/pricing.

    4.3 Billing

    Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms. We may change our fees at any time with 30 days' notice.

    4.4 Cancellation

    You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.

    5. User Content and Data

    5.1 Your Data

    You retain all rights to the data, content, and information you submit to the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide the Service to you.

    5.2 Data Portability

    You may export Your Data at any time using the export features in the Service. Upon termination, you will have 30 days to export Your Data before it is deleted.

    5.3 Prohibited Content

    You agree not to upload, submit, or transmit any content that:

    • Violates any applicable law or regulation
    • Infringes any intellectual property or other rights of any party
    • Contains viruses, malware, or other harmful code
    • Is fraudulent, misleading, or deceptive

    6. Acceptable Use

    You agree not to:

    • Use the Service for any illegal purpose or in violation of any laws
    • Attempt to gain unauthorized access to the Service or its systems
    • Interfere with or disrupt the Service or servers
    • Reverse engineer, decompile, or disassemble the Service
    • Use the Service to transmit spam or unsolicited communications
    • Impersonate any person or entity
    • Use automated tools to access the Service without our permission
    • Resell or redistribute the Service without authorization
    • Access or use the Service for competitive analysis, benchmarking, or the development of a competing product or service, as further described in Section 6A

    6A. Competitive Use Restriction

    6A.1 Prohibited Activities

    You may not access or use the Service, directly or indirectly, for the purpose of:

    • Competitive analysis, benchmarking, or evaluation of the Service against any competing or potentially competing product or service
    • Monitoring the availability, performance, features, or functionality of the Service for competitive purposes
    • Developing, improving, or training any product, service, or technology that is substantially similar to, or competes with, any aspect of the Service
    • Copying, replicating, or reverse engineering the design, user interface, user experience, workflows, or feature set of the Service
    • Gathering or extracting information about the Service's features, pricing, or business model for use by a competitor or potential competitor

    6A.2 Applicability

    This restriction applies whether you access the Service under a paid subscription, free trial, demonstration account, or any other means of access. It extends to your employees, contractors, agents, and any third parties acting on your behalf or at your direction.

    6A.3 Remedies

    Any breach of this Section 6A shall constitute a material breach of these Terms. In addition to immediate termination of your account and access to the Service, CommandOS reserves the right to pursue all available legal remedies, including but not limited to injunctive relief, specific performance, and recovery of damages (including consequential and indirect damages, notwithstanding any limitation of liability set forth elsewhere in these Terms), attorneys' fees, and costs. You acknowledge that a breach of this Section would cause irreparable harm to CommandOS for which monetary damages alone would be an inadequate remedy, and you consent to the issuance of injunctive relief in favor of CommandOS without the necessity of posting a bond.

    7. Intellectual Property

    The Service, including its design, features, and content (excluding Your Data), is owned by CommandOS and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

    "CommandOS" and our logo are trademarks of InCommand Technologies LLC. You may not use our trademarks without our prior written consent.

    8. AI Features

    The Service includes AI-powered features for briefings, battlecards, proposals, and other functionality. You acknowledge that:

    • AI-generated content is provided for informational purposes and should be reviewed before use
    • We do not guarantee the accuracy or completeness of AI-generated content
    • You are responsible for reviewing and editing AI-generated content before using it in business contexts

    9. Privacy

    Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

    10. Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

    11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMANDOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

    OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

    12. Indemnification

    You agree to indemnify and hold harmless CommandOS and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

    13. Termination

    We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately.

    Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

    14. Changes to Terms

    We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

    15. General Provisions

    • Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
    • Dispute Resolution: Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
    • Entire Agreement: These Terms constitute the entire agreement between you and CommandOS regarding the Service.
    • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
    • Waiver: Our failure to enforce any right or provision does not constitute a waiver.
    • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
